Alt-Invest Compliance & Checkout Portal

Take private fund subscriptions online, with investor eligibility checked and evidenced before you accept

Overview

What you are buying

The Alt-Invest Compliance & Checkout Portal replaces paper subscription packs for private equity and other private funds. Investors complete and sign their subscription documents online, the portal collects the evidence needed to verify accredited investor and qualified purchaser status, and your compliance team reviews and accepts each subscription with the reasons recorded. Accepted subscriptions feed the data for your Form D and state notice filings, which your team or counsel submits.

The problem it solves

Most private fund closings still run on PDF subscription booklets that investors fill in by hand, return incomplete, and correct by email. Investor relations chases missing pages and signatures, compliance checks accredited investor status from documents sent in every format, and nobody can say at a glance which investors are ready to close. When a regulator or auditor asks how an investor's status was verified under Rule 506(c), or why a subscription was accepted, the answer is a folder of emails and scanned letters.

  • Subscription booklets come back incomplete, unsigned or with conflicting answers
  • Accredited investor and qualified purchaser evidence arrives in every format and is checked by hand
  • Closing readiness is tracked in spreadsheets across investor relations, compliance and the administrator
  • Verification decisions and Form D data are hard to evidence after the close

Who uses it

  • Investor relations and fund operations teams at private equity, private credit and venture firms
  • Chief compliance officers who sign off on investor eligibility
  • Fund counsel who review subscription terms and prepare regulatory filings
  • Fund administrators who onboard investors into the register
  • Auditors and examiners, who need evidence of how each investor was accepted

Requirements it supports

Regulation D (17 CFR 230.500 to 230.508)Rule 506(c) accredited investor verification (17 CFR 230.506(c)(2)(ii))Rule 506(d) bad actor disqualificationForm D notice of exempt offering (17 CFR 239.500)Investment Company Act of 1940 Sections 3(c)(1) and 3(c)(7)OFAC sanctions regulations (31 CFR Chapter V)

The product supports these requirements; meeting them remains your organization’s responsibility.

A short walkthrough

Illustrative screens with fictional sample data. They show the workflow, not any client’s data or configuration, and the layout of the product itself differs. A live demonstration uses the product with sample data.

  1. Step 1

    The closing board

Investor relations sees every investor in the offering and what each is waiting on.

  2. Step 2

    Answers that do not agree

The questionnaire flags answers that contradict each other before the investor submits.

  3. Step 3

    Reviewing the evidence

A compliance reviewer sees the status claimed, the evidence provided and the screening results, and records a decision.

Workflows

The principal workflows

  1. Invite

Investor relations sets up the offering, its document set and its eligibility rules, then invites investors or their advisers to a secure subscription workspace.

    • Offering created with fund, share class and exemption relied on
    • Subscription documents and side questions loaded from your counsel's templates
    • Eligibility rules set: accredited investor, qualified purchaser, or both
    • Investors and their authorized representatives invited by email
    • Invitations, opens and progress tracked per investor
  2. Subscribe

Investors answer the subscription questionnaire online. Answers drive which sections apply, conflicting answers are flagged before submission, and the completed documents are signed electronically.

    • Investor type selected: individual, trust, entity, plan or fund of funds
    • Questionnaire shows only the sections that apply to that investor type
    • Inconsistent or missing answers flagged before the investor can submit
    • Commitment amount, tax forms and wiring details captured
    • Documents signed electronically by each required signatory
  3. Verify

The portal collects the evidence for each investor's status and runs sanctions and bad actor checks. A compliance reviewer decides whether the evidence supports the status claimed and records why.

    • Investor uploads evidence or requests a verification letter from a lawyer, CPA or adviser
    • Evidence checked for type, date and consistency with the questionnaire
    • Sanctions screening results and bad actor questionnaire attached
    • Compliance reviewer accepts, rejects or requests more information, with reasons
    • Verification record kept with the subscription
  4. Close and file

Ready subscriptions are countersigned by the general partner. The portal prepares the closing package for the administrator and assembles the offering data for Form D and state notice filings.

    • Closing readiness shown per investor and per offering
    • General partner countersigns accepted subscriptions
    • Funding notice issued with the fund's bank instructions; receipt confirmed by your administrator
    • Investor data exported to the fund administrator's register
    • Form D and state notice filing data assembled for your team or counsel to submit

How access is controlled

  • Collecting evidence and accepting an investor's status are separate: investor relations gathers the subscription, compliance decides, and exceptions need the chief compliance officer. Nobody approves an exception they requested.
  • Investors and their representatives see only the subscriptions they are part of. A representative can complete a subscription but cannot sign for the investor unless they are a named signatory.
  • Roles are configured with you during implementation. You can rename them, create custom roles, and limit them by fund, offering or team, and every permission change is recorded in the audit trail.
  • Staff sign in through your identity provider, and roles can follow its groups. Auditors, examiners and administrators get access limited to the funds and dates the firm grants, rather than shared accounts.

Exports, access and evidence

  • Every report can be exported to CSV, and summary and evidence reports to PDF. Reports can be scheduled to arrive by email for the people entitled to see them.
  • Each report can be filtered by fund, offering and closing, and the filters saved, so investor relations and compliance can keep their own views.
  • Offering, subscription and verification data is available through the Moraph Work API, and can be delivered to your data warehouse or reporting tools.
  • Reports respect each viewer's role: investor relations does not see financial evidence unless granted, and auditors see only the funds and dates in their scope.
  • Compliance and audit reports can be run as of a past date and give the same result each time. Running and exporting a report is itself recorded in the audit trail.

Deployment

Where and how it runs

Moraph cloud

Hosted and operated by Moraph in the United States region. United Kingdom and Australia regions are available for managers outside the US.

Dedicated environment

A single-tenant environment for managers whose policies require isolation, scoped in the proposal.

Branded investor portal

The investor-facing pages carry your firm's name and branding on a domain you choose.

Security controls, independent audits and data residency are set out in our Trust Center. Engagement models and what drives a quotation are on Working with Moraph.

Implementation

What a rollout involves

The general phases are on Working with Moraph. For this product, they involve the following.

Document conversion

We convert your counsel's subscription booklet and side questions into the online questionnaire, and your counsel reviews the result before it is used. We need the current documents and a contact at your law firm.

Eligibility rules

Investor types, accreditation bases, qualified purchaser tests and the evidence each requires are configured to your compliance procedures.

Integrations

E-signature, sanctions screening, CRM and administrator exports are connected and tested with sample investors.

Workflow and roles

Review steps, approval rules, exception handling and roles are configured to match your procedures.

Pilot offering

A first offering or a single share class runs through the portal with a small group of investors, and the questionnaire is adjusted from what they report.

Training and go-live

Investor relations, compliance and administrator staff are trained on their own workflows, and investor-facing guidance is prepared with your branding.

Limitations

What it does not do

Worth knowing before you evaluate it.

  • The portal does not decide whether an investor is accredited or a qualified purchaser. Your compliance team reviews the evidence and makes that decision, and the portal records it.
  • It does not file Form D or state notice filings. It assembles the data, and your team or counsel submits filings through EDGAR and the relevant state systems.
  • Moraph does not hold, receive or move investor funds. Capital is wired to the fund's own bank account, and receipt is confirmed by your administrator.
  • It is not a sanctions screening engine. It sends investor details to the screening provider you choose and records the results.
  • Subscription documents and questions are your counsel's. Moraph converts them into the online form but does not give legal advice on their content.
  • It is designed for US private placements under Regulation D. Offerings under Regulation S or other countries' private placement rules need separate configuration and review by your counsel.
  • It does not maintain the fund's investor register or capital accounts after the close; that stays with your administrator.
  • Ongoing investor reporting, capital calls after the initial closing and distributions are not included.

Evaluation checklist

What to test in a demonstration or pilot

Questions worth putting to us, and to any other vendor you are considering.

  1. Give us your current subscription booklet and review how it reads as an online questionnaire
  2. Ask a colleague to subscribe as a trust investor and note where they get stuck
  3. Check that the consistency checks catch the errors you see most often in paper booklets
  4. Walk through an accredited investor verification and decide whether the record would satisfy your auditor
  5. Review the closing board against how you track readiness today
  6. Confirm role separation: who can collect evidence, accept a status and approve an exception

Questions

Frequently asked questions

Who owns the investor data in the portal?

Your firm does. How it is returned to you and deleted at the end of the agreement is set out in the contract.

Can we use our existing subscription documents?

Yes. We convert your counsel's documents into the online questionnaire, and your counsel reviews the result before any investor sees it.

Does the portal verify accredited investor status for us?

It collects and checks the evidence and presents it to your compliance reviewer, who decides. The decision and the reasons are recorded with the subscription.

Does Moraph handle investor money?

No. Funding notices carry your fund's own bank instructions, and your administrator confirms receipt. Moraph does not hold or move funds.

How is it priced?

As a subscription, usually measured by the number of funds or offerings and investors, with implementation charged separately. See Working with Moraph for what drives a quotation.

Is there an accessibility conformance report?

Ask for one through the procurement request form at /how-to-buy/request, naming the version you are evaluating.
