Alt-Invest Compliance & Checkout Portal

The Alt-Invest Compliance & Checkout Portal replaces paper subscription packs for private equity and other private funds. Investors complete and sign their subscription documents online, the portal collects the evidence needed to verify accredited investor and qualified purchaser status, and your compliance team reviews and accepts each subscription with the reasons recorded. Accepted subscriptions feed the data for your Form D and state notice filings, which your team or counsel submits.

Principal workflows

  • Invite: Investor relations sets up the offering, its document set and its eligibility rules, then invites investors or their advisers to a secure subscription workspace.
  • Subscribe: Investors answer the subscription questionnaire online. Answers drive which sections apply, conflicting answers are flagged before submission, and the completed documents are signed electronically.
  • Verify: The portal collects the evidence for each investor's status and runs sanctions and bad actor checks. A compliance reviewer decides whether the evidence supports the status claimed and records why.
  • Close and file: Ready subscriptions are countersigned by the general partner. The portal prepares the closing package for the administrator and assembles the offering data for Form D and state notice filings.

Who uses it

  • Investor relations and fund operations teams at private equity, private credit and venture firms
  • Chief compliance officers who sign off on investor eligibility
  • Fund counsel who review subscription terms and prepare regulatory filings
  • Fund administrators who onboard investors into the register
  • Auditors and examiners, who need evidence of how each investor was accepted

Reporting

  • Closing readiness by offering and investor
  • Subscriptions waiting on the investor, compliance or countersignature
  • Verification decisions by accreditation basis and reviewer
  • Sanctions and bad actor check results
  • Commitments by offering, share class and state
  • Form D and state notice filing data for each offering

Features

  • Smart subscription questionnaire: One online questionnaire built from your counsel's documents, showing each investor only the sections that apply to them.
  • Consistency checks: Answers that contradict each other, such as an investor type and the accreditation basis claimed, are flagged before submission.
  • Accredited investor verification: Evidence collection for each basis of accreditation, including third-party verification letters, with the reviewer's decision and reasons recorded.
  • Qualified purchaser checks: Separate questions and evidence for qualified purchaser status where the fund relies on Section 3(c)(7).
  • Electronic signature: Subscription documents signed by each required signatory, with the signed version and signing record stored together.
  • Sanctions and bad actor checks: Results from your sanctions screening provider and bad actor questionnaires attached to each investor and covered person.
  • Closing readiness board: Every investor's status in one view: invited, in progress, submitted, verified, countersigned and funded.
  • Adviser and representative access: Investors can delegate completion to a financial adviser, family office or attorney, while signatures stay with the investor.
  • Funding notices: Funding notices issued with the fund's own bank instructions; Moraph does not hold or move investor funds.
  • Form D and state filing data: Offering amounts, investor counts and sales by state assembled from accepted subscriptions, ready for your team or counsel to file.
  • Reusable investor profiles: Returning investors start from their earlier answers and documents, and confirm or update them for the new offering.
  • Audit trail: Every answer change, document, signature, verification decision and export recorded with the person and time.

Integrations

  • Electronic signature: Signing through the e-signature service you already use, including Moraph's managed Digital Transaction Management service.
  • Sanctions screening: Investors, beneficial owners and signatories sent to your screening provider, with results attached to the subscription.
  • Fund administration: Accepted subscriptions exported to your administrator's investor register by file or API.
  • CRM: Investor and prospect records synchronized with your CRM, so investor relations works from one contact list.
  • Identity verification: Identity checks on individual investors and signatories through your chosen provider, where your procedures require them.
  • Single sign-on: Your staff sign in through your identity provider (SAML or OpenID Connect); investors use their own accounts with multi-factor authentication.
  • Work API: Subscription, verification and closing data available to your data warehouse and reporting tools through the Moraph Work API.

Deployment

  • Moraph cloud: Hosted and operated by Moraph in the United States region. United Kingdom and Australia regions are available for managers outside the US.
  • Dedicated environment: A single-tenant environment for managers whose policies require isolation, scoped in the proposal.
  • Branded investor portal: The investor-facing pages carry your firm's name and branding on a domain you choose.

Security and privacy

  • Single sign-on: Your staff sign in through your identity provider, so your password and multi-factor policies apply.
  • Investor accounts with multi-factor authentication: Investors and their representatives sign in with their own accounts and multi-factor authentication, and see only the subscriptions they are part of.
  • Role-based access: What each person can see and do follows their role; accepting an investor's status is separate from collecting the evidence.
  • Encryption and keys: Client and investor data is encrypted, with keys Moraph staff cannot use without explicit, time-bound authorization.
  • Complete audit trail: Every view, change, decision, signature and export is logged with the person and time, and cannot be edited.
  • Data residency: Data stays in the hosting region you choose: the United States, the United Kingdom or Australia.

Limitations

  • The portal does not decide whether an investor is accredited or a qualified purchaser. Your compliance team reviews the evidence and makes that decision, and the portal records it.
  • It does not file Form D or state notice filings. It assembles the data, and your team or counsel submits filings through EDGAR and the relevant state systems.
  • Moraph does not hold, receive or move investor funds. Capital is wired to the fund's own bank account, and receipt is confirmed by your administrator.
  • It is not a sanctions screening engine. It sends investor details to the screening provider you choose and records the results.
  • Subscription documents and questions are your counsel's. Moraph converts them into the online form but does not give legal advice on their content.
  • It is designed for US private placements under Regulation D. Offerings under Regulation S or other countries' private placement rules need separate configuration and review by your counsel.
  • It does not maintain the fund's investor register or capital accounts after the close; that stays with your administrator.
  • Ongoing investor reporting, capital calls after the initial closing and distributions are not included.
