Trade Surveillance & Market Abuse Monitor

Pre-clear, monitor and review employee personal trading under your Code of Ethics

Overview

What you are buying

The Trade Surveillance & Market Abuse Monitor collects employees' personal trading from their brokers, checks it against your restricted and watch lists, pre-clearance approvals and the firm's own trading, and flags patterns that look like front-running or trading on inside information. Compliance reviews each exception, records the outcome and follows up with the employee. Holdings reports, quarterly transaction reports and annual certifications are collected and tracked in the same place, ready for examiners.

The problem it solves

Code of Ethics programs are often run from broker statements arriving by mail or email, a pre-clearance inbox, a restricted list kept in a spreadsheet and reminders sent by hand. Matching an employee's trade to the firm's own orders or to a name on the watch list is slow, so reviews are sampled or late. When an examiner asks how a suspicious personal trade was found and what was done about it, the evidence is in several places.

  • Broker statements arrive in different formats and are reviewed by hand
  • Pre-clearance requests and approvals live in email
  • Personal trades are not compared systematically with client and firm orders
  • Certifications, holdings reports and exceptions are hard to evidence at exam time

Who uses it

  • Chief compliance officers at investment advisers, broker-dealers and fund complexes
  • Compliance analysts who review personal trading day to day
  • Control room and research staff who maintain restricted and watch lists
  • Employees designated as access persons who must pre-clear and report their trades
  • Internal audit and examiners, who need evidence of every review

A short walkthrough

Illustrative screens with fictional sample data. They show the workflow, not any client’s data or configuration, and the layout of the product itself differs. A live demonstration uses the product with sample data.

  1. Step 1

    A pre-clearance request

An employee's request is checked against every rule before compliance sees it, and only the ones that need judgment wait for a person.

Employee 2207 · Buy Example Corp common (fictional)

    Why it needs review

    • Client orders in the same security within the window your Code sets
    • Employee works on the desk that placed them
An employee's request is checked against every rule before compliance sees it, and only the ones that need judgment wait for a person.
  2. Step 2

    The exception queue

Compliance works from one queue of exceptions, each with the rule that produced it and its age.

  3. Step 3

    Why the exception fired

The exception sets the personal trade beside the related client orders, with the timing between them.

  6. Step 6

    A restricted list change

Each list change keeps its reason, effective time and approver, so checks use the list as it stood on the trade date.

Workflows

The principal workflows

  1. Pre-clear

Employees request approval before they trade. The request is checked automatically against the restricted list, blackout periods, holding-period rules and open firm orders, and compliance decides on anything that is not clear-cut.

    • Employee submits the security, direction and approximate size
    • The request is checked against restricted and watch lists, blackouts and firm orders
    • Requests that pass every rule are approved for the window your policy sets
    • Others go to a compliance analyst with the reasons shown
    • The decision and its reasons are recorded against the request
  2. Collect

Personal trades and holdings arrive from brokers by electronic feed or uploaded statement, and are matched to the employee and the account they declared.

    • Employees declare their covered accounts and the brokers holding them
    • Broker feeds and statements are loaded on the schedule each source supports
    • Trades and holdings are matched to the employee and the account
    • Undeclared accounts and missing statements are flagged
    • Initial, quarterly and annual reports are collected and tracked by due date
  3. Monitor

Each personal trade is compared with pre-clearance approvals, the restricted and watch lists, and the firm's and its clients' trading in the same security, to find unapproved trades and patterns such as trading ahead of client orders.

    • Trades are checked against the pre-clearance approval and its window
    • Trades in restricted or watch-list securities are flagged
    • Trades close in time to client or firm orders in the same security are flagged with the timing
    • Short-term trading against your holding-period rule is flagged
    • Each exception is created with the facts that produced it
  4. Review

Compliance works each exception, contacts the employee where needed, and records the outcome, from no action to escalation. The chief compliance officer approves sanctions and escalations.

    • Analyst reviews the exception, the trade and the related orders
    • Analyst requests an explanation from the employee if needed
    • Outcome recorded with a reason: no issue, reminder, or escalate
    • Escalations and proposed sanctions approved by the chief compliance officer
    • Follow-up actions tracked until closed

How access is controlled

  • Compliance staff cannot review their own personal trading. Their requests and exceptions go to another analyst or a designated alternate, and the chief compliance officer's own trading is reviewed by an alternate you name.
  • Roles are configured with you during implementation. You can rename them, create custom roles and limit them by business unit, desk or region, so each reviewer sees only the employees they are responsible for.
  • Every permission change is recorded in the audit trail with who made it and when, and access review reports list each person's roles for periodic certification by the chief compliance officer.
  • Staff sign in through your identity provider, and roles can follow its groups. Auditors and examiners get temporary read-only access with a defined scope and an end date, rather than shared accounts.

Features

What it does

Pre-clearance

Employees request approval in a form or by email reply, with automatic checks against lists, blackouts, holding periods and open orders before compliance decides.

Broker feeds and statements

Trades and holdings loaded from brokers' electronic feeds where they exist, and from uploaded statements where they do not.

Restricted and watch lists

Lists maintained by the control room with effective dates, reasons and history, so every check uses the list as it stood on the trade date.

Front-running detection

Personal trades compared with client and firm orders in the same security, with the time between them shown so a reviewer can judge the pattern.

Explainable exceptions

Every exception states the rule, the trade, the related order or list entry and the timing, in words an examiner can follow.

Holdings and transaction reports

Initial and annual holdings reports and quarterly transaction reports collected from access persons, with due dates and reminders.

Annual certifications

Employees acknowledge the Code of Ethics and its amendments, and the acknowledgment is kept with the date and version.

Holding-period and blackout rules

Minimum holding periods and blackout windows around fund trades, research or deals, configured to your Code of Ethics.

Account declarations

Employees declare their own and household accounts, and new or closed accounts are tracked with the broker information needed for duplicate statements.

Exception case management

Assignment, employee contact, notes, attachments and an approval step before any escalation or sanction.

Exam-ready audit trail

Who requested, approved, reviewed or changed what, and when, for every request, trade, exception and list entry.

Employee self-service

Employees see their own requests, approvals, reporting obligations and outstanding items, and nothing about colleagues.

Security and privacy

How your data is protected

Single sign-on

Employees and compliance staff sign in through your identity provider, so your password and multi-factor policies apply.

Role-based access

Employees see only their own records; reviewing an exception is separate from approving a sanction.

Confidential lists

The watch list is visible only to the roles you choose. Employees see whether a request is approved, not why a security is on a list.

Encryption and keys

Client data is encrypted, with keys Moraph staff cannot use without explicit, time-bound authorization.

Complete audit trail

Every view, change, decision and export is logged with the person and time, and cannot be edited.

Data residency

Data stays in the hosting region you choose: the United States, the United Kingdom or Australia.

Company-wide controls, independent audits (SOC 2 Type II and ISO/IEC 27001) and data residency are described in our Trust Center, where you can request the evidence pack.

Reporting

Exports, access and evidence

  • Every report can be exported to CSV, and summary and evidence reports to PDF. Reports can be scheduled to arrive by email for the people entitled to see them.
  • Each report can be filtered and the filters saved, so an analyst or the chief compliance officer can keep their own views. Reports that need a different shape can be built in your own tools from the data described below.
  • Request, trade, exception and outcome data is available through the Moraph Work API, and can be delivered to your data warehouse or business intelligence tool.
  • Reports respect each viewer's role: an analyst sees the employees they cover, the chief compliance officer sees the whole program, and employees see only their own obligations.
  • Regulatory and audit reports can be run as of a past date and give the same result each time. Running and exporting a report is itself recorded in the audit trail.

Deployment

Where and how it runs

Moraph cloud

Hosted and operated by Moraph in the United States region. United Kingdom and Australia regions are available for firms outside the US.

Dedicated environment

A single-tenant environment for firms whose policies require isolation, scoped in the proposal.

With a managed service

Optionally run alongside a Moraph managed service for broker feed management and platform administration.

Security controls, independent audits and data residency are set out in our Trust Center. Engagement models and what drives a quotation are on Working with Moraph.

Implementation

What a rollout involves

The general phases are on Working with Moraph. For this product, they involve the following.

Code of Ethics mapping

We translate your Code of Ethics into rules: who is an access person, which securities are covered, holding periods, blackouts and pre-clearance requirements. We need your current Code and a contact in compliance.

Broker connections

We set up electronic feeds with the brokers your employees use where feeds are available, and a statement upload process for the rest.

Firm trading data

Order and execution data from your order management system is mapped so personal trades can be compared with client and firm activity.

Lists and rules testing

Restricted and watch lists are loaded with their history, and rules are run against a recent period of trading and reviewed with your chief compliance officer before go-live.

Employee onboarding

Employees are invited to declare accounts, submit initial holdings and acknowledge the Code, with reminders managed by the product.

Training and go-live

Compliance staff are trained on review and approval, employees receive short guidance on requests and reporting, and open items are migrated by agreement.

Limitations

What it does not do

Worth knowing before you evaluate it.

  • The Monitor flags patterns for review; it does not decide that insider trading or front-running took place. Your compliance staff make that judgment and record it.
  • Monitoring covers employee personal trading under a Code of Ethics. It is not a market-wide surveillance system for client or proprietary trading on exchanges.
  • Results depend on brokers providing complete and timely feeds or statements, and on employees declaring their accounts.
  • Comparison with firm and client trading requires order and execution data from your order management system.
  • It does not review employee communications. Email and chat surveillance needs a separate archiving and review tool.
  • Gifts, entertainment, political contributions and outside business activities are not included.
  • It does not file regulatory reports or make referrals to regulators; those decisions and filings are made by your firm.
  • Rules are configured from your Code of Ethics; changing the Code and its rules is your firm's decision.

Evaluation checklist

What to test in a demonstration or pilot

Questions worth putting to us, and to any other vendor you are considering.

  1. Load a recent period of anonymized personal trades and firm orders and compare the exceptions with those your current process found
  2. Ask an employee to submit a pre-clearance request and see which checks run before compliance is involved
  3. Check that each exception's explanation would satisfy your examiners
  4. Review how restricted and watch list history is kept and applied to past trade dates
  5. Walk through an escalation from exception to chief compliance officer approval
  6. Confirm what employees can and cannot see, including the watch list

Questions

Frequently asked questions

Who owns the data in the Monitor?

Your firm does. How it is returned to you and deleted at the end of the agreement is set out in the contract.

Can it compare personal trades with our clients' trading?

Yes, when your order management system provides order and execution data. That comparison is what surfaces patterns such as trading ahead of client orders.

Which brokers can send feeds?

Many brokers offer electronic feeds of employee accounts; those that do not can send statements that are uploaded and matched. The list for your employees is confirmed during implementation.

How is it priced?

As a subscription, usually measured by the number of employees covered, with implementation charged separately. See Working with Moraph for what drives a quotation.

How do examiners see our work?

A read-only examiner role shows requests, exceptions, reports, list history and the audit trail, and everything can be exported.

Is there an accessibility conformance report?

Ask for one through the procurement request form at /how-to-buy/request, naming the version you are evaluating.
